Our Germany Setup Process


Step 1, Entity Selection: GmbH or UG


We help you select the right legal form for your German operations. A GmbH (minimum capital €25,000) is Germany's most widely used corporate vehicle and carries strong credibility with clients and banks. A UG (Unternehmergesellschaft) is a low-capital variant with a minimum of €1, ideal for startups or asset-light service businesses.


Step 2, Notarisation & Articles of Association


German law requires that GmbH and UG formation documents are notarised by a German notary (Notar). We coordinate the full notarisation process, draft the Gesellschaftsvertrag (Articles of Association), and prepare shareholder and managing director resolutions in German and English.


Step 3, Handelsregister & Gewerbeamt Registration


We file your incorporation with the local Handelsregister (Commercial Register) via the notary and register your business activity with the Gewerbeamt (trade office). You receive your Handelsregisternummer (HRB number), the official proof of corporate registration in Germany.


Step 4, Tax Registration & Steuer-ID


We register your GmbH or UG with the Finanzamt (tax office) for Körperschaftsteuer (corporate tax), Gewerbesteuer (trade tax), and Umsatzsteuer (VAT). We obtain your Steueridentifikationsnummer and, if applicable, your EU VAT number for intra-EU transactions.


Step 5, Bank Account, Payroll & Ongoing Compliance

Frequently Asked Questions


What is the difference between a GmbH and a UG in Germany?


A GmbH requires minimum share capital of €25,000 (at least half paid-in at incorporation) and is the most credible and widely used German corporate form. A UG can be incorporated with as little as €1 but must retain 25% of annual profits as a reserve until €25,000 is accumulated, at which point it can convert to a GmbH. For international companies, a GmbH is generally recommended.


Do I need a German resident managing director?


A German GmbH must have at least one Geschäftsführer (managing director). There is no legal requirement for this person to be a German resident, but practically, German banks and authorities strongly prefer a local or EU-resident director. How long does GmbH incorporation take?


Notarisation and Handelsregister registration typically take 2–4 weeks from submission. Tax registration with the Finanzamt adds a further 2–4 weeks. The full process from initial consultation to operational company usually takes 6–8 weeks.


What are Germany's corporate tax rates?


German companies pay Körperschaftsteuer (corporate tax) at 15%, plus the Solidaritätszuschlag (solidarity surcharge) of 5.5% on the tax amount, plus Gewerbesteuer (trade tax) which varies by municipality (typically 14–17%). The combined effective rate is typically 28–33%.


Is VAT registration compulsory for a German GmbH from the start?


Yes, if your GmbH conducts taxable activities in Germany. The standard Umsatzsteuer (VAT) rate is 19%, with a reduced rate of 7% for specific goods and services. Monthly or quarterly VAT returns (Umsatzsteuer-Voranmeldung) must be filed electronically via the ELSTER portal.
