Industry Insights
Germany Business Setup: Market Insights
Germany remains the top FDI destination in the EU, attracting EUR 33 billion in new investments in 2023. Key inflows target automotive technology, chemicals, digital infrastructure, and business services. Berlin, Munich, Hamburg, and Frankfurt each offer distinct sector specializations and talent pools.
Foreign companies operating in Germany must navigate complex VAT obligations (particularly for e-commerce under the EU OSS scheme), stringent payroll regulations, and German GAAP (HGB) accounting requirements. ASC Consulting's European compliance team ensures your German subsidiary operates efficiently and fully in compliance with Finanzamt requirements.

R&D and Innovation Ecosystem: Germany is home to the Fraunhofer Society, the Max Planck Institutes, and over 400 universities, making it a premier destination for technology transfer, joint ventures, and R&D partnerships.
Competitive Tax Treaty Network: Germany has concluded double tax treaties with over 90 countries, including Hong Kong, China, Singapore, UAE, Japan, and the USA, minimising withholding tax on dividends, interest, and royalties.
Stable Legal & Business Environment: Germany's civil law system, strong property rights, and predictable regulatory environment consistently rank it among the world's most trusted destinations for foreign direct investment.
Process
Step 1, Entity Selection: GmbH or UG
We help you select the right legal form for your German operations. A GmbH (minimum capital €25,000) is Germany's most widely used corporate vehicle and carries strong credibility with clients and banks. A UG (Unternehmergesellschaft) is a low-capital variant with a minimum of €1, ideal for startups or asset-light service businesses.
Step 2, Notarisation & Articles of Association
German law requires that GmbH and UG formation documents are notarised by a German notary (Notar). We coordinate the full notarisation process, draft the Gesellschaftsvertrag (Articles of Association), and prepare shareholder and managing director resolutions in German and English.
Step 3, Handelsregister & Gewerbeamt Registration
We file your incorporation with the local Handelsregister (Commercial Register) via the notary and register your business activity with the Gewerbeamt (trade office). You receive your Handelsregisternummer (HRB number), the official proof of corporate registration in Germany.
Step 4, Tax Registration & Steuer-ID
We register your GmbH or UG with the Finanzamt (tax office) for Körperschaftsteuer (corporate tax), Gewerbesteuer (trade tax), and Umsatzsteuer (VAT). We obtain your Steueridentifikationsnummer and, if applicable, your EU VAT number for intra-EU transactions.
Step 5, Bank Account, Payroll & Ongoing Compliance
We assist with German corporate bank account opening, implement payroll under ELSTER and social insurance frameworks (Rentenversicherung, Krankenversicherung, Arbeitslosenversicherung), and provide ongoing annual financial statements (Jahresabschluss) and tax filings.

Timelines depend on structure and documentation, but the process is predictable from setup decisions to registration and post-incorporation compliance planning.

GmbH is the standard for many businesses; UG can be a lighter entry option. We recommend based on capital, governance and growth plans.
Do I need to be in Germany to incorporate ?
Not necessarily. Many steps can be coordinated remotely depending on your structure and required verifications.
What documents are typically required?
Common documents include shareholder IDs, proof of address, company details and a description of the business activity. Exact requirements depend on the structure and the shareholders involved.
When do I need a German VAT number?
It depends on your sales model and operational footprint, such as local sales, imports, warehousing or invoicing from Germany. We assess your setup and align VAT planning early.
